Nexora Investments

Terms and Conditions

1.Acceptance of Terms

These Terms and Conditions ("Agreement") govern the relationship between Nexora Investments ("Nexora Investments", "the Company", "we", "our", or "us") and any individual or legal entity ("Client", "you", or "your") accessing or using the Company's website, trading platforms, financial products, or related services.

By registering an account, accessing the trading platform, depositing funds, executing transactions, or otherwise using services offered by Nexora Investments, the Client acknowledges having read, understood, and agreed to these Terms and Conditions.

The Client confirms that they are legally eligible to enter into binding financial agreements and are not prohibited from accessing the Company's services under applicable laws or regulations.

Nexora Investments provides online trading services involving financial instruments, including foreign exchange, Contracts for Difference (CFDs), commodities, indices, cryptocurrencies, and stocks, subject to product availability, applicable law, and account eligibility.

Trading financial instruments involves substantial financial risk, including the potential loss of invested capital. Leveraged instruments carry additional risks because relatively small market movements may produce significant gains or losses.

The Client acknowledges that all trading decisions are made independently and accepts responsibility for the financial consequences of those decisions.

Unless expressly agreed otherwise in writing, the Company does not provide personalized investment advice, discretionary portfolio management, or guarantees concerning trading performance.

The Company may amend these Terms to reflect legal, regulatory, operational, or commercial developments. Material amendments will be communicated with appropriate notice where required by law.

Clients are responsible for maintaining the confidentiality of account credentials and notifying the Company promptly of suspected unauthorized account activity.

The Company may restrict or suspend account access when reasonably necessary to protect account security, comply with legal obligations, or address suspected misuse, subject to applicable law.

Clients must provide accurate information during registration and maintain sufficient funds to satisfy applicable trading requirements.

The Company's Privacy Policy and AML/KYC Policy are separate documents governing personal information and financial crime prevention procedures.

2.Spot Forex Trading

Nexora Investments provides access to foreign exchange trading instruments that enable Clients to speculate on movements between currency pairs.

Where offered, spot Forex transactions involve the purchase of one currency against the sale of another. The precise legal and settlement structure of each product shall be specified in the applicable contract specifications.

Foreign exchange prices fluctuate continuously in response to economic developments, monetary policy, geopolitical events, market sentiment, and changes in global liquidity.

The Client acknowledges that foreign exchange trading may involve significant volatility and that prices may change rapidly without advance warning.

Orders are executed subject to prevailing market conditions, available liquidity, and the Company's disclosed execution arrangements.

The Company does not guarantee execution at a requested price. Slippage, requotes, partial execution, or order rejection may occur where permitted under the applicable execution policy.

Forex trading may involve leverage, allowing Clients to control positions larger than the funds committed as margin. Leverage increases both potential gains and potential losses.

Clients are responsible for maintaining sufficient margin. Where account equity falls below applicable margin requirements, positions may be closed automatically in accordance with disclosed margin close-out procedures.

Spreads may widen during economic announcements, market openings, holidays, or periods of limited liquidity.

Positions held overnight may incur financing or swap charges, depending on the instrument and applicable account conditions.

Nexora Investments may adjust margin requirements or temporarily suspend trading where reasonably necessary due to exceptional volatility, liquidity constraints, or other market conditions, subject to applicable regulatory requirements.

3.Contracts for Difference (CFDs)

Contracts for Difference are derivative instruments allowing Clients to speculate on price movements without acquiring ownership of the underlying financial asset.

A CFD generally represents an agreement to exchange the difference between the opening and closing value of a specified financial instrument.

CFDs may reference currencies, commodities, indices, shares, cryptocurrencies, or other eligible underlying assets.

Clients trading CFDs do not ordinarily acquire ownership rights in the underlying asset and are not entitled to physical delivery, shareholder voting rights, or direct ownership benefits.

CFD trading may involve leverage and margin requirements. Adverse price movements can rapidly reduce available account equity.

The Client acknowledges that CFD prices may differ from prices displayed on underlying exchanges due to spreads, financing adjustments, market conditions, or the Company's disclosed pricing methodology.

Stop-loss and take-profit instructions do not guarantee execution at a particular price during volatile or illiquid markets.

Corporate actions affecting underlying assets may result in adjustments to CFD positions, including dividend adjustments, stock splits, mergers, or other events.

Overnight financing charges may apply to positions maintained beyond the applicable trading session.

The Company may modify trading conditions, instrument availability, or margin requirements in accordance with contractual terms and applicable law.

Clients acknowledge that CFDs are complex financial products and may be unsuitable for individuals who do not understand leverage, margin, and market volatility.

Any mandatory negative balance protection, leverage limits, margin close-out requirements, or other retail-client safeguards applicable in the Client's jurisdiction shall take precedence over inconsistent provisions of this Agreement.

4.Commodities Trading

Nexora Investments may offer trading instruments referencing commodities such as gold, silver, crude oil, natural gas, and other eligible commodity markets.

Commodity instruments may be provided through CFDs or other disclosed contractual arrangements. Unless expressly stated otherwise, trading a commodity derivative does not provide ownership or delivery rights over the underlying physical commodity.

Commodity prices are influenced by global supply and demand, production levels, geopolitical events, economic conditions, weather patterns, transportation constraints, and government policies.

Clients acknowledge that commodity markets may experience substantial price fluctuations and periods of limited liquidity.

Energy instruments may be particularly sensitive to production decisions, international conflicts, inventory reports, and changes in energy consumption.

Precious metals may respond to currency movements, interest rates, inflation expectations, and investor demand.

Where instruments reference futures contracts, rollover procedures, expiration dates, and pricing adjustments may apply according to the published contract specifications.

The Company may adjust trading hours, spreads, margin requirements, and instrument availability where reasonably necessary and permitted by law.

Clients are responsible for understanding the contract size, pricing structure, leverage, financing charges, and potential risks associated with each commodity instrument.

5.Indices Trading

Nexora Investments may provide access to instruments referencing major global stock market indices.

An index measures the performance of a selected group of financial instruments according to a specified methodology.

Index trading through CFDs or other derivatives allows Clients to speculate on movements in an index without acquiring ownership of its constituent securities.

Index values may be affected by economic indicators, corporate earnings, monetary policy, geopolitical developments, and broader financial market sentiment.

Clients acknowledge that index prices may experience significant fluctuations during market openings, economic announcements, or periods of heightened volatility.

Trading hours may differ according to the relevant underlying market and instrument specifications.

Index derivatives may be subject to financing charges, dividend adjustments, rollover procedures, or contract expiration arrangements.

The Company does not guarantee uninterrupted trading availability or execution at a requested price.

Clients are responsible for monitoring their positions and maintaining adequate margin.

6.Cryptocurrency Trading

Nexora Investments may offer trading instruments referencing cryptocurrencies, including Bitcoin, Ethereum, and other eligible digital assets.

Cryptocurrency trading may be provided through CFDs or other specified arrangements. Trading a cryptocurrency CFD does not constitute ownership of the underlying digital asset and does not entitle the Client to withdraw that asset to an external wallet.

Cryptocurrency markets are highly volatile and may experience extreme price movements within short periods.

Prices may be influenced by market sentiment, technological developments, regulatory announcements, cybersecurity incidents, liquidity conditions, and changes in digital asset adoption.

Clients acknowledge that cryptocurrency markets may experience trading interruptions, sudden liquidity reductions, significant spreads, or rapid price gaps.

Cryptocurrency instruments may carry additional risks associated with blockchain technology, network disruptions, exchange failures, market manipulation, and regulatory uncertainty.

Where applicable, the Company may temporarily restrict trading in affected instruments during exceptional market or technical events, subject to applicable law.

Clients understand that cryptocurrency-related products may not benefit from the same protections applicable to traditional financial instruments.

The availability of cryptocurrency trading is subject to jurisdictional restrictions and the Company's authorization to offer the relevant products.

Nexora Investments does not guarantee the future value, stability, liquidity, or continued availability of any cryptocurrency instrument.

7.Stocks Trading

Nexora Investments may provide access to instruments referencing publicly traded company shares, subject to availability and applicable regulatory permissions.

Stock trading services may involve share CFDs or, where expressly offered and documented, direct ownership of securities.

When trading stock CFDs, Clients do not acquire legal ownership of the underlying shares or associated shareholder voting rights.

Where direct share ownership is available, custody arrangements, beneficial ownership rights, settlement procedures, and applicable investor protections shall be governed by separate disclosures and agreements.

Stock prices are influenced by corporate performance, financial statements, economic conditions, industry developments, management decisions, and market sentiment.

Clients acknowledge that individual securities may experience substantial volatility, particularly around earnings announcements, mergers, acquisitions, and other corporate events.

Corporate actions, including dividends, stock splits, rights issues, and delistings, may affect trading positions or result in contractual adjustments.

The Company may restrict trading in securities subject to exchange suspensions, regulatory restrictions, or exceptional market conditions.

Clients are responsible for understanding the nature of each stock instrument, including whether the transaction involves ownership of shares or exposure through a derivative contract.

8.Limitation of Liability

Nexora Investments shall not be responsible for losses arising solely from ordinary market movements, independent trading decisions, or risks inherent in financial instruments.

The Company shall exercise the care, skill, and diligence required by applicable law when providing its services.

Nothing in this Agreement excludes or restricts liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded, nor does it limit mandatory investor or consumer protections.

9.Governing Law

This Agreement shall be governed by the laws of England and Wales, subject to mandatory laws and protections applicable to the Client.

Disputes shall be addressed through the Company's applicable complaints procedures and, where appropriate, competent courts or authorized dispute resolution bodies.
